OpenAI Explores For-Profit Transition While Retaining Nonprofit Mission

OpenAI is reportedly engaging regulators in California and Delaware about restructuring into a for-profit company while keeping its nonprofit arm for benevolent AI. This change aims to attract investors but raises questions about the firm’s commitment to its original mission.
OpenAI, the AI pioneer behind ChatGPT, is in preliminary discussions with California and Delaware regulators to transition to a for-profit structure. This potential shift is intended to streamline OpenAI’s financial structure to attract investment while maintaining a nonprofit arm focused on its original mission to build safe, benevolent AI technology.
OpenAI’s estimated $157 billion valuation has opened doors for talks with regulators, including the offices of Attorney General Rob Bonta in California and his Delaware counterpart. Bloomberg reports that OpenAI’s nonprofit board currently oversees all company decisions. However, the restructured model would allow OpenAI’s for-profit sector to operate independently, though the nonprofit branch would continue pursuing the company’s mission of advancing safe and beneficial AI.

The legal hurdles are notable, as California law mandates that nonprofit assets be valued and distributed for charitable purposes. OpenAI’s main assets lie in its intellectual property, primarily in language models like ChatGPT, which makes valuation and charitable allocation complex.
This restructuring plan has stirred skepticism, notably from Elon Musk, an early investor who questioned the legality of OpenAI’s profit-seeking intentions. He expressed concerns about OpenAI, once a nonprofit alternative to Google, now operating as a “closed-source, maximum-profit company.” Musk, who once filed and later withdrew a lawsuit against OpenAI for breach of contract, has highlighted the risks of mission drift, as Microsoft now exerts substantial influence over the organization.
OpenAI’s nonprofit board chairman, Bret Taylor, assured that any restructuring would preserve the nonprofit’s stake and support its mission. “We are dedicated to ensuring the nonprofit’s assets serve their intended purpose,” a spokesperson for Bonta’s office confirmed.
Amid the financial discussions, OpenAI faces revenue challenges. Reports from early October forecast the company incurring a $5 billion loss in 2024, with profitability unlikely until 2029. Additionally, safety researcher Miles Brundage announced his departure from OpenAI this month to pursue AI policy research, further fueling questions about OpenAI’s future direction and its commitment to safety and ethics.
