On September 26, Musk took to X (formerly Twitter) to voice his disapproval, stating, “You can’t simply convert a non-profit organization into a for-profit organization.” He went on to describe the plan as unlawful, sparking a heated debate over the feasibility of such a transformation. However, the legal reality may be more nuanced.

Several legal experts have weighed in on the matter, clarifying that under California law, it is indeed possible for a non-profit corporation to transition into a for-profit entity, though the process is complex. Directly converting into a limited liability company (LLC) is not allowed, but converting into a for-profit corporation with proper modifications to the company’s structure is feasible.

Jeremy Hogan, a well-known legal expert, noted that the process, while challenging, is not illegal. “It is possible, but represents a bureaucratic challenge,” Hogan commented, further explaining that the conversion involves fulfilling various legal requirements, including amending the company’s bylaws.

Even OpenAI’s chatbot, ChatGPT, provided a similar explanation, citing legal steps, tax implications, and necessary formal approvals as part of the transformation process.

OpenAI’s Future Vision

Founded in 2015 as a non-profit with the mission of developing advanced AI for the benefit of humanity, OpenAI has evolved significantly. Among its notable founders were Sam Altman, Elon Musk, and Ilya Sutskever. In recent years, the organization has explored the idea of restructuring into a “public benefit corporation” (PBC), a type of for-profit company with a social mission at its core.
