Nasdaq Files With SEC to Enable Tokenized Securities Trading on Blockchain

Nasdaq has formally submitted a proposal to the U.S. Securities and Exchange Commission (SEC) to enable trading of tokenized securities—transforming traditional equities into blockchain-based tokens for seamless integration with existing markets.

In a groundbreaking move, Nasdaq has filed a proposal with the U.S. Securities and Exchange Commission (SEC) seeking approval to trade tokenized securities—digital representations of traditional financial assets—on its main stock exchange. If approved, this initiative would mark the first time a major U.S. stock exchange embraces blockchain integration at its core.

Nasdaq’s plan allows listed stocks and exchange-traded products (ETPs) to be traded in either a traditional digital format or as blockchain-based tokens. Crucially, the exchange insists that these tokenized instruments must uphold “the same material rights and privileges” as their conventional counterparts. If those rights are lacking, the tokenized versions would be treated as distinct instruments.

Under the proposal, execution, order handling, and surveillance mechanisms remain unchanged. Tokenized trades would go through the same systems—settling via the Depository Trust Company (DTC)—which aligns with the broader goal of integrating Web3 functionalities without sacrificing market structure integrity. The earliest such tokenized trades could occur is by Q3 2026, pending infrastructure readiness.

This filing aligns with permissive regulatory shifts under the Trump administration and reflects growing institutional interest in tokenization—with firms like Coinbase, Bank of America, and Citi already exploring similar initiatives.
